What You'll Do/Need
The Associate Corporate Counsel-Technology will provide a wide range of legal services and advice to the Title Source Legal team. This team member will work closely with general and senior counsel, senior leaders and team members on all levels.
Draft, review, redline and negotiate technology and commercial agreements with third parties on behalf of Title Source and its affiliates
Advise and aid the business in finding solutions to comply with technology licensing, intellectual property, cyber security and privacy, as well as e-commerce laws, rules and best practices
Write and review new and existing policies and procedures to ensure adherence with all applicable federal, state and client requirements
Assist with gathering final review of all information requested by external third parties (including lenders and regulators) for RFPs, audit/examinations and reoccurring due diligence requests prior to release
Work with senior counsel and the Director of Audit and Compliance to develop and implement long-term legal policies and procedures relating to compliance with legal requirements
Support the Partner Management team and InfoSec team in vetting third party software providers
Juris doctor degree, licensed and in good standing in at least one U.S. jurisdiction
Five-plus years of experience drafting and negotiating technology and commercial-related contracts and agreements, including but not limited to: nondisclosure agreements, master software license agreements, professional service agreements, SaaS, service level agreements, vendor contracts, and licensing and distribution agreements.
Experience with technology, internet, social media, privacy data security, data privacy and e-commerce issues
Possess outstanding written and verbal communication, analytical and problem-solving skills
Able to make decisions independently and prioritize effectively within a fast-paced environment
Possess a solid track record of superior client service and project management
Strong skills in Microsoft Suite
